Introduction
Before using any service provided by NiceTV, you must read and fully understand these Terms of Service (hereinafter referred to as "these Terms"). These Terms contain important provisions, especially those relating to limitations of liability – please pay special attention to them. If you do not agree to any part of these Terms, you may not use NiceTV's services. By accessing or using NiceTV's services, you indicate that you have read and agree to be bound by these Terms. Users under the age of 18 or without full civil capacity are advised to read these Terms together with their legal guardians, and to pay particular attention to the rules applicable to minors. Failure to comply with the foregoing requirements shall result in all adverse consequences arising from registration and use being borne solely by you, and NiceTV shall not assume any responsibility, while reserving the right to terminate your access to the services.
I. Scope of Application and Definitions
These Terms constitute a legally binding agreement between you and the operator of NiceTV (hereinafter referred to as "we", "us", or "our") and apply to all users of any NiceTV product or service. "Operator" means the legal entity that operates NiceTV in accordance with applicable law; "User" means any natural person who uses NiceTV's products or services.
II. Account Registration and Personal Information Protection
1. You may experience the services as a guest, but we strongly recommend that you log in through Google Login or other officially authorised channels to reduce the risk of account loss.
2. You are responsible for safeguarding your account information and login password, and you must log out promptly after each session. If your account is accessed by unauthorised persons due to your own negligence, you shall bear all liability.
3. NiceTV shall not be liable for any losses arising from account security breaches or unauthorised disclosure of personal privacy that are not caused by our fault.
4. Protecting users' personal information is a core principle of our operations. When you log in through thirdparty channels, we employ reasonable and feasible security technologies and management systems to prevent unauthorised access, use, or disclosure of your information.
5. You have the right to view and update your submitted personal information at any time.
6. Without your consent, we will not disclose your personal information to any external organisation or individual, except where required by laws or regulations.
7. We may disclose your information in the following circumstances: (1) you have given prior authorisation; (2) it is required by applicable laws or regulations; (3) it is ordered by government or judicial authorities; (4) it is necessary to protect the public interest; or (5) it is necessary to protect the legitimate rights and interests of NiceTV.
III. User Conduct Rules and Prohibited Activities
1. You may only use the services for personal, noncommercial purposes, unless otherwise agreed in writing with us.
2. You may only use the services through channels authorised by us, and the permission granted under these Terms is nontransferable.
3. You may not use unauthorised plugins, extensions, or thirdparty tools to interfere with the services, nor may you damage, tamper with, or otherwise harm the services.
4. When using the services, you must comply with all applicable laws and regulations and must not engage in any of the following:
Publishing, transmitting, or storing content that endangers national security or social stability, or that is defamatory, obscene, violent, or otherwise illegal;
Infringing upon others' intellectual property rights, trade secrets, or other lawful rights;
Fabricating facts or concealing truths to mislead or deceive others;
Sending spam or marketing information;
Any other activity prohibited by law.
You must observe the laws and customs of your locality and may not use the platform to engage in political activities or public events that might involve NiceTV.
You are solely responsible for all content you transmit through the platform, and the source of such content must be lawful – you must either own the content or have full authorisation from the rights holder.
You agree that we may reasonably use the content you upload for the purpose of performing these Terms and providing services to you.
If we receive a complaint from a rights holder alleging that your content infringes their rights, we have the right to delete, block, or remove the link to such content at our discretion.
IV. Intellectual Property Rights
1. The commercial logos, icons, and other marks used in NiceTV's services are owned by us and protected by copyright, trademark, and other applicable laws.
2. All information, materials, text, software, audio, pictures, videos, graphics, and other content within the platform are the intellectual property (including copyrights, trademarks, and trade secrets) of NiceTV or its licensors, and are protected by intellectual property laws worldwide.
3. Without the written authorisation of us or the respective rights holder, you may not modify, copy, distribute, transmit, publicly display, perform, republish, sublicense, or transfer the said content, nor create derivative works based thereon. Any such acts constitute a material breach of these Terms, and we may immediately terminate your access and require you to destroy all acquired materials, while reserving the right to pursue further legal action.
V. Service Availability and Equipment Requirements
1. You acknowledge and agree that the services are provided on an "asis" and "asavailable" basis, based on current technology and operational conditions. We will take reasonable commercial measures to ensure continuous availability, but we cannot completely eliminate all risks, including force majeure, computer viruses, hacker attacks, system failures, data loss, thirdparty service defects, administrative actions, and other similar events.
2. You are responsible for procuring your own terminal equipment (such as computers and mobile phones) and for bearing all related costs incurred by using the services (e.g., data charges, internet fees, etc.).
3. You acknowledge that using the services will consume hardware resources and network bandwidth on your devices.
VI. Advertising and Liability
1. While providing the services, we may deliver advertisements and promotional content either directly or through authorised advertisers, and we have the right to adjust the delivery channels and scope without prior notice.
2. We perform our obligations as an advertiser in accordance with the law, but you are responsible for verifying the truthfulness of any advertisements. Any decisions made based on advertisements are at your own risk, and except as expressly provided by law, we shall not be liable for the content of advertisements or for any losses arising from transactions related thereto.
3. Purchasing any service or feature does not exempt you from receiving advertisements. Receiving advertisements is part of the consideration we receive for providing the services to all users, and your agreement to these Terms constitutes your acceptance of this rule.
VII. Paid Subscriptions and Virtual Currency Rules
1. We have the right to offer free or paid services, and the fees collected are internet valueadded service charges. Consumed recharge amounts are nonrefundable.
2. If you apply for a refund of unused balance, and the application is approved, the amount will be returned in fiat currency through the original payment channel, subject to a 10% handling fee. If the original channel is unavailable, we may discuss alternative refund methods.
3. We have the right to adjust the pricing standards and billing rules at our discretion; the updated rules shall take effect upon publication and become part of these Terms. We may also introduce charges for previously free services, provided that notice is given before the change. Continued use after the effective date constitutes acceptance of the new rules.
4. Some services are paid items; you must comply with the corresponding special terms indicated on the relevant pages. If you refuse to pay, you will not be able to use those paid features.
5. We may set different pricing and billing rules for different services and different usage stages.
6. We offer paid subscription viewing services. For individual videoondemand, the subscription period is one month from the date of payment. We only guarantee normal viewing during the subscription period; after expiry, we are not responsible for any inability to view the content.
7. Virtual currency rules:
Platform content must be purchased with virtual currency; different content requires different currencies.
Users are prohibited from trading virtual currencies with each other on the platform. Violation constitutes a breach, and we may take measures to stop such trading without prior notice.
Once a recharge order is submitted, it cannot be modified or cancelled.
Please carefully check your account and order details before recharging. We are not responsible for any losses caused by operational errors, wrong account selection, or misunderstanding of the fee rules.
When using thirdparty payment channels, you must comply with the terms of service of those platforms and keep your personal and financial information secure. Disputes arising from thirdparty payment channels are not our responsibility.
If your account is frozen or cancelled due to a breach of these Terms, you shall have no right to claim compensation from us.
If a system error results in a discrepancy between the amount you actually paid and the amount we received, and if the data can be restored and you can provide valid proof, we will correct the error. If we received less than you paid, we will make up the difference. If we received more, we have the right to recover the excess.
Once a content subscription order is placed, it cannot be changed. Except with our written consent, subscription fees are nonrefundable, and this rule applies even if the service is suspended, terminated, or the content is removed.
VIII. ThirdParty Products and Services
When you use thirdparty products or services through NiceTV, you are bound by both these Terms and the thirdparty's own terms of service. We and the third party shall independently bear our respective obligations, and handle related disputes in accordance with applicable law and contracts.
IX. Software Usage License
1. Using the services may require downloading client software. We grant you a personal, nontransferable, nonexclusive license to use the software solely for accessing and using our platform services.
2. We may periodically push software updates to improve user experience and security. Please install the latest version promptly; otherwise, normal operation of the software cannot be guaranteed.
X. Disclaimer and Assumption of Risks
1. You acknowledge that using the services involves risks such as force majeure, which may cause service interruptions or abnormalities. Force majeure refers to unforeseeable, unavoidable, and insurmountable objective events, such as natural disasters, wars, government actions, etc. We will make reasonable efforts to restore services, but to the extent permitted by law, we are not liable for losses caused by force majeure.
2. To the extent permitted by law, we are not liable for service interruptions caused by: computer viruses, Trojan horses, hacker attacks; software, hardware, or communication line failures; your improper operation; your unauthorised use of the services; or other events beyond our reasonable control.
3. Online information and the conduct of other users may carry risks. We do not guarantee the authenticity, suitability, or legality of any information, and we are not liable for related losses, such as threatening, defamatory, offensive, or illegal content posted by other users, or misleading or fraudulent conduct by other users.
4. The services are not intended for use in highrisk fields such as nuclear facilities, military, medical, or transportation. We are not liable for any personal injury, property damage, or environmental harm arising from system or service failures in such scenarios.
5. We have the right to deal with violating content under these Terms, but we are not obliged to proactively screen all user content, nor do we guarantee that we will detect all violations in a timely manner.
6. Be wary of messages from strangers asking for loans, passwords, or asset transactions; always verify the identity of the other party and pay attention to antifraud notices issued by us.
XI. Breach Handling and Liability
1. Any violation of the above user conduct rules or other provisions of these Terms constitutes a material breach.
2. Upon a breach, we may suspend or terminate your access to the services and retain the paid fees as liquidated damages. If our actual loss exceeds the retained amount, we reserve the right to seek additional compensation for all losses.
3. If your breach causes harm to a third party, you shall bear all compensation liability and shall fully indemnify us for all losses we suffer (including but not limited to attorney fees, litigation costs, etc.).
4. If we discover or receive a complaint that your content violates the rules, we have the right to delete, block, or disconnect the link, and may suspend or terminate services, restrict or freeze your account, or even initiate legal proceedings.
5. If you violate local laws or become involved in political or public events that may involve us, we may also suspend services and retain the fees.
XII. Amendment of Terms and Service Changes
1. Accessing or using the services signifies your agreement to be bound by these Terms.
2. We may revise these Terms as needed, and the latest version will be posted on the service pages.
3. After a revision takes effect, your continued use of the services constitutes acceptance of the new terms; if you do not accept them, you must stop using the services.
4. We have the right to modify, temporarily suspend, or permanently terminate part or all of the services.
5. In the following circumstances, we may, without prior notice, restrict or terminate your access: (1) you provide false, contradictory, or incomplete statutory information; (2) you violate laws or these Terms; (3) government or judicial authorities issue orders; (4) for platform security or other necessary operational reasons.
XIII. Special Provisions for Minors
1. If you are under 18 years old, you are a minor and must read these Terms and use the services under the supervision of a guardian.
2. Minors should distinguish between the virtual world and real life, avoid internet addiction, protect personal information properly, use the internet rationally under guardian guidance, and stay away from illegal online activities.
3. Guardians and schools should supervise minors' use of the services, and parents should guide children to avoid online risks.
4. If a guardian believes that a minor child (especially those under 10 years old) may use NiceTV, the guardian may register an account in their own name and decide whether the services are suitable for the minor.
5. We attach great importance to the protection of minors' personal information and will not proactively disclose user registration information or provide nonpublic content stored on the platform to third parties, except in the disclosure circumstances set out in these Terms (as detailed in Section II on Account and Personal Information Protection).
XIV. Governing Law and Dispute Resolution
1. These Terms are governed by and construed in accordance with the laws of [Governing Jurisdiction], without regard to conflict of law principles.
2. Any dispute arising out of these Terms shall first be resolved through friendly negotiation. If negotiation fails, the dispute shall be submitted to arbitration in [Governing Jurisdiction] in accordance with the rules of the arbitration institution.
